Release issued 29th June 2005

Godalming UK, 29 June, 2005: Sinclair Pharma plc ("Sinclair" or the "Company") (SPH.L), the specialty pharmaceutical company, today announces a new licensing agreement for Decapinol®, the company's oral rinse for the treatment and prevention of gingivitis, which is currently approved in the EU and which recently received US FDA approval. Sinclair also announces the signing of a further three licensing agreements in North America (US and Canada) and three in Columbia.

Under the terms of the Decapinol® agreement, the product has been exclusively licensed for ten years to Kivema Ltd. ("Kivema") for distribution in Israel. Kivema specialises in oral care, dermatology and ophthalmology and has full coverage of the retail Pharma trade across Israel as well as direct access to over 1000 dental clinics.

Sinclair are pleased to announce that they have appointed Align Pharmaceuticals as licensees in North America (US and Canada) on ten year exclusive contracts for the three products below. Align is a new US company with strong venture capital funding, specialised in radiation oncology, dental and rheumatology products. The company will target the US market via a combination of contract salespeople and co-promotion partners who will have over 100 sales representatives selling the following products. In addition Sinclair announce that the same three products have been licensed exclusively in Columbia to Bio Pharma, a company representing major pharma companies such as Abbott, Novartis and Zambon. The products licensed to Align and Bio Pharma are:

Xclair™ for the treatment of radiation dermatitis;

Salinum™ Salinum™ is Sinclair's saliva replacement product for the treatment of dry mouth syndrome, ("xerostomia") where the salivary glands are able to produce little or no saliva.

SST™ SST™ is Sinclair's saliva stimulating tablet for the treatment of milder forms of dry mouth syndrome.

Dr Michael Flynn, CEO of Sinclair, said: "The licensing deal in Israel is a further advancement of our international commercialisation strategy for Decapinol®. We believe that a good efficacy profile and high level of patient acceptance of Decapinol® provides very significant patient benefits and expect the product to rapidly gain market acceptance with each new territory launch.

We are also very pleased to have signed up Align and Bio Pharma as licensees for Xclair™, Salinum™ and SST™. In so doing we are following our strategy of licensing our products to distributors whom we believe will best promote our products in their territories."
